End User License Agreement

1. Acceptance of Terms

By registering for, accessing, or using FinCA Agent ("the Service", "the Platform"), you ("User", "you") agree to be bound by this End User License Agreement ("EULA") and our Privacy Policy. If you do not agree to these terms, you must not use the Service.

This agreement is between you and FinCA Agent, operated by Shaukat (AI Solutions Consultant), Rawalpindi, Pakistan ("we", "us", "our").

2. Description of Service

FinCA Agent is an AI-powered financial operations platform designed for Chartered Accountants and FinTech/IT company finance teams. The Platform provides automated financial analysis, monthly close preparation, audit readiness assessments, tax compliance reviews, and investor-ready reporting through a pipeline of specialist AI agents.

The Service connects to third-party accounting software (QuickBooks Online, Xero), accepts user-uploaded financial documents, and generates formatted Word reports and Excel extracts for professional review.

3. License Grant

Subject to your compliance with this EULA and payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal professional purposes.

You may not:

• Sublicense, resell, or redistribute the Service or its outputs as your own product
• Reverse engineer, decompile, or attempt to extract the source code of the Platform
• Use the Service to develop a competing product or service
• Remove or alter any proprietary notices or labels on the Service

4. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Notify us immediately of any unauthorised use of your account
• Ensure that each user in your organisation uses a unique set of credentials
• Not share your login credentials with parties outside your licensed user count

We reserve the right to suspend or terminate accounts that show evidence of credential sharing, abuse, or violation of these terms.

5. Acceptable Use

You agree to use the Service only for lawful professional purposes. You must not:

• Upload false, fraudulent, or misleading financial data
• Use the Service to facilitate money laundering, tax evasion, or financial fraud
• Attempt to circumvent the Platform's security controls or rate limits
• Use automated scripts to interact with the Service beyond normal use
• Upload files containing malware or malicious code

6. Third-Party Integrations (QuickBooks, Xero)

FinCA Agent integrates with Intuit QuickBooks Online and Xero accounting software. By connecting these integrations, you:

• Authorise FinCA Agent to access your accounting data solely for the purpose of generating financial analysis and reports
• Acknowledge that your use of QuickBooks Online is also subject to Intuit's own Terms of Service and Privacy Policy
• Acknowledge that your use of Xero is also subject to Xero's Terms of Use and Privacy Policy
• Confirm that you have the authority to grant FinCA Agent access to the accounting data of any entity you connect

We store your ERP access tokens in encrypted form. You may disconnect any ERP integration at any time from within the Platform. Upon disconnection, stored tokens are immediately deleted.

7. AI-Generated Content and Professional Disclaimer

You acknowledge and agree that:

• AI-generated outputs may contain errors, omissions, or figures marked as estimates [E] that require replacement with verified actuals
• All outputs requiring statutory sign-off (audit opinions, tax filings, statutory accounts) must be reviewed, verified, and approved by a qualified Chartered Accountant before external issue
• FinCA Agent is not a substitute for professional CA judgment, statutory audit, or legal advice
• We are not liable for any financial loss, regulatory penalty, or professional consequence arising from use of AI-generated outputs without appropriate professional review
• The Platform clearly marks estimated figures [E] and statutory sign-off requirements within every report — you are responsible for addressing these before using outputs for any official purpose

8. Subscription, Billing and Cancellation

Subscription Plans

The Service is offered on a monthly subscription basis with three tiers: Starter (10 runs/month), Professional (50 runs/month), and Enterprise (150 runs/month). Overage runs are charged at the rates stated on our pricing page.

Billing

Subscriptions are billed monthly in advance through Lemon Squeezy. By subscribing, you authorise us to charge your payment method on a recurring monthly basis.

Cancellation

You may cancel your subscription at any time through the Billing & Plans section of the Platform or via your Lemon Squeezy customer portal. Cancellation takes effect at the end of the current billing period. No refunds are provided for the remainder of a paid period.

Free Trial

New accounts receive a 14-day free trial of the Professional plan. No payment details are required during the trial period. If you do not subscribe before the trial expires, your account will revert to read-only access.

9. Intellectual Property

The Platform, including its software, agent pipeline architecture, knowledge base, user interface, and branding, is owned by FinCA Agent and protected by applicable intellectual property laws.

You retain ownership of all financial data you upload or connect to the Platform. You grant us a limited licence to process your data solely for the purpose of providing the Service to you.

Reports and analysis generated using your data are yours to use for your professional purposes, subject to the professional disclaimer in Section 7.

10. Data and Privacy

Our collection, use, and protection of your personal and financial data is governed by our Privacy Policy, which forms part of this agreement.

Key data commitments:

• Your financial data is processed solely to provide the Service — it is never sold, shared with third parties for marketing, or used to train AI models
• Uploaded files are processed in memory and not retained on disk beyond the duration of a single workflow run
• ERP credentials (QuickBooks, Xero tokens) are encrypted at rest using AES-128-CBC encryption
• All data is transmitted over TLS 1.2 or higher

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" without warranties of any kind, express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated outputs will be accurate or complete
• Our total liability to you for any claim arising from use of the Service shall not exceed the total subscription fees paid by you in the three months preceding the claim
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or loss of business opportunity

12. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach any provision of this EULA. Upon termination:

• Your licence to use the Service ceases immediately
• You may request export of your workflow run history within 30 days of termination
• After 30 days, your account data may be permanently deleted

You may terminate your account at any time by cancelling your subscription and contacting us to delete your account data.

13. Governing Law

This agreement is governed by the laws of the Islamic Republic of Pakistan. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of Rawalpindi, Punjab, Pakistan.

For users based in GCC countries, we acknowledge applicable local consumer protection regulations and will work in good faith to resolve disputes before resorting to formal legal proceedings.

14. Changes to This Agreement

We may update this EULA from time to time. We will notify you of material changes via email or a notice within the Platform. Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated terms.
